BY-LAWS OF THE FRONT RANGE KNITTING GUILD
ARTICLE I – NAME AND PURPOSE
- This organization shall be known as the FRONT RANGE KNITTING GUILD (FRKG or Guild). It shall be recognized as affiliated with The Knitting Guild Association (TKGA).
- The purpose of this Guild shall be to provide education and communication to advance the quality of workmanship and creativity in their member’s knitting endeavors.
ARTICLE II – MEMBERSHIP
- Any person who is interested in the purpose of this organization may become a member by application and payment of dues.
- We embrace and encourage differences in age, color, disability, ethnicity, family or marital status, gender identity or expression, language, national origin, physical and mental ability, political affiliation, race, religion, sexual orientation, socio-economic status, veteran status, and other factors.
- The Guild may not form a cooperative to obtain a business license or tax number for the purpose of buying knitting supplies at a wholesale price.
ARTICLE III – EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS
- Officers of the Executive Committee are composed of the President, Vice-President, Secretary, Treasurer, and Technology Coordinator. The Executive Committee shall have general supervision of FRKG between its business meetings.
- The Board of Directors (Board) is composed of the Executive Committee Officers, and members appointed by the President to serve as consultants, head of committees, and other functions.
- The Board of Directors shall meet to conduct guild business at a time designated by the President. Notice of meetings shall be communicated to each Board member at least seven (7) days in advance.
- A majority of the Board shall constitute a quorum for transacting business or voting at any meetings.
- Vacancies on the Board shall be filled with an appointment by the President and approval of the Executive Committee.
- Term of office for each Executive Committee Officer shall be one (1) year.
- The President and Vice-President shall maintain a current membership in TKGA.
- Executive Committee Officer duties are listed in Appendix A and may be updated by approval of the Board as needed.
ARTICLE IV – ELECTION OF EXECUTIVE COMMITTEE AND OFFICERS
- The Guild shall organize a nominating committee, if necessary, for the purpose of nominating officers or soliciting volunteers for the next annual term. The nominating committee shall present its proposed slate of officers no later than the November monthly meeting of the members.
- An annual election of officers shall occur in conjunction with the December monthly meeting of the members.
- Thirty percent (30%) of the membership shall constitute a quorum necessary for a vote.
- Newly elected officers shall be in effect during the first member meeting of the new year.
ARTICLE V – DUES
- The fiscal year of FRKG shall commence January 1 and end December 31.
- Payment of dues shall be due and payable by the second member meeting of the year.
- Dues will be reduced for new members joining after June 30th.
- Prospective members are allowed to attend two (2) meetings before being required to pay dues.
- A fee will be charged to non-members for attending workshops.
- See Appendix B for Amount of Dues, which may be changed by approval of the Board of Directors.
ARTICLE VI – MEETINGS
- There shall be at least one (1) annual meetings of the Board of Directors during the calendar year.
- Special meetings of the Board of Directors may be called from time to time by the President or any two (2) members of the Board. Notice of any special meeting shall be communicated to each member of the Board at least seven (7) days in advance.
- FRKG membership meetings will be held at least once per month, when possible. Meetings will start at 9:00 am unless otherwise stated in the monthly newsletter.
- The President or someone appointed by the President, shall be responsible for making meeting room reservations and securing any special equipment needed.
- Thirty percent (30%) of the members shall constitute a quorum to conduct a vote.
ARTICLE VII COMMITTEES
- The Guild shall have standing committees for education, programs and finances. The chairman of each committee shall be appointed by the President, upon the advice and consent of the Board of Directors.
- The duties of the committee shall be defined by the Board of Directors.
ARTICLE VIII AMMENDMENTS
- These by-laws may be amended, repealed, or altered in-part by a two-thirds (2/3) vote of those members present at a scheduled meeting that has a quorum.
ARTICLE IX – PARLIAMENTARY PROCEDURE
- Robert’s Rules of Order shall govern all procedure and parliamentary matters of the Guild.
